These terms are an agreement between MyRSO LLC ("My RSO", "we", "us") and the business that subscribes to the My RSO service at myrso.ai and app.myrso.ai ("customer", "you"). The person who accepts them confirms they can bind that business. Our Privacy Policy explains how we handle data. Where a customer signs an order form or agreement with us, that document controls if it conflicts with these terms.
1. The service
My RSO is an online back-office service for restaurant groups. It reads vendor invoices, statements and email, connects to your accounting system (Intuit QuickBooks Online or Restaurant365) and your point of sale, and gives you reports and drafts for your team to review. Features and plans are described on our website or in your order form. We may improve or change the service; we will not remove a core feature you pay for during a paid term without notice.
2. Accounts and your team
- You decide who on your team gets an account, and what role and stores each person can see. You are responsible for what happens under your accounts and for keeping passwords private.
- Tell us right away at support@myrso.ai if you think an account has been misused.
3. Connected systems and what the service does in them
- You give us permission to connect to the systems you choose (your accounting system, POS and AP mailbox) and to read the data we need. You can disconnect any of them at any time.
- The service only writes to your accounting system, or sends email to your vendors, when you have switched that on. Practice mode lets you see what it would do first. Entries and emails the service prepares are based on your documents and settings. You remain responsible for your books, your payments and what is sent in your name, and you should review the service's work as you would a staff member's.
- Third-party systems are governed by their own terms (for example Intuit's terms for QuickBooks). We are not responsible for their outages or changes.
4. Subscription, billing and taxes
- Fees are as shown in your plan or order form, billed monthly in advance through Stripe. You authorize us to charge the payment method on file.
- Subscriptions renew each month. You can cancel at any time; the cancellation takes effect at the end of the current billing month.
- Fees do not include taxes. You pay any sales or similar taxes that apply, other than taxes on our income.
- If a payment fails and is not fixed within 15 days of our notice, we may suspend the service until it is. We do not refund partial months, except as the law requires or at our discretion.
- We may change prices with at least 30 days' notice.
5. Acceptable use
You will not, and will not let anyone else:
- use the service to break the law or anyone's rights, or to send spam or misleading messages to vendors;
- upload malware, or try to get into accounts, data or systems that are not yours, including other customers' data;
- probe, scan or test the service's security, or overload it, without our written permission;
- copy, resell or reverse-engineer the service, or use it to build a competing product;
- send us payment card numbers, bank account numbers or other sensitive personal data the service is not built for.
We may suspend access that breaks these rules or puts the service or other customers at risk, and we will tell you why.
6. Your data
- You own your data. You give us only the rights we need to host, process and show it to you, to provide and support the service.
- We may use anonymous, aggregated measurements of how the service is used, never your business data in a form that identifies you, to run and improve it.
- At the end of your subscription you can export your data, and we then delete it as described in the Privacy Policy.
7. Our property
The service, its software and its content belong to us or our licensors. These terms give you the right to use the service during your subscription; they do not transfer ownership. If you send us suggestions, we may use them without owing you anything.
8. Confidentiality
Each side will keep the other's non-public business information confidential, use it only for this agreement, and protect it with reasonable care. This does not cover information that is public, already known, independently developed, or that the law requires us to disclose (with notice where the law allows).
9. Warranties and disclaimer
We will provide the service with reasonable skill and care. Otherwise the service is provided "as is". AI-assisted reading and drafting can make mistakes. We do not promise the service will be error-free or uninterrupted, or that it replaces your own review, your accountant, or your legal or tax advisers. To the extent the law allows, we disclaim all other warranties, including merchantability, fitness for a particular purpose and non-infringement.
10. Limitation of liability
- Neither side is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if told they were possible.
- Each side's total liability under these terms is limited to the fees you paid us in the 12 months before the event that caused it.
- These limits do not apply to your payment obligations, a breach of section 5, or liability that the law does not allow to be limited.
11. Indemnity
You will defend us against third-party claims arising from your data or your breach of section 5, and pay what is awarded.
12. Term and termination
- These terms last as long as you have a subscription.
- You can cancel at any time; the service runs until the end of the current billing month.
- Either side can end the agreement if the other materially breaches it and does not fix the breach within 30 days of written notice.
- When it ends, your access stops and you have 30 days to export your data. We then delete it as the Privacy Policy describes. Sections 6 to 11 and 13 continue to apply.
13. General
- Governing law: the State of Florida; courts in Hillsborough County, Florida.
- We may update these terms. We will post the new version here and email customers at least 30 days before a material change applies to them.
- Neither side may assign this agreement without the other's consent, except to a successor of its business.
- Neither side is liable for delays caused by events outside its reasonable control.
- If a part of these terms can't be enforced, the rest still applies. These terms, with any order form, are the whole agreement on this subject.
